Terms and Conditions of Sale

Article 1 — Scope

These terms and conditions of sale ("T&Cs") apply to all website, application and automation services provided by Waycraft.studio (Rémi Lamarche, sole proprietorship registered in France) to professional clients acting within the scope of their business activity. Placing an order implies unconditional acceptance of these T&Cs, which take precedence over any client document unless otherwise agreed in writing.

Article 2 — Quotes and orders

Each project is the subject of a detailed, free, no-obligation quote, valid for 30 days from its issue date. The order is considered final upon receipt of the quote signed by the client, accompanied where applicable by the deposit payment set out in Article 3.

Article 3 — Pricing and payment terms

Prices are shown in euros. For services totalling less than €3,000 (incl. tax): a 30% deposit is due upon signing the quote, with the balance due on delivery. For services totalling €3,000 or more: 30% upon signing, 40% at the project's midpoint, and the remaining 30% on delivery.

Invoices are payable upon receipt, unless a specific term is stated on the quote. Any late payment automatically triggers, without prior formal notice, late-payment penalties at a rate of three times the French statutory interest rate, plus a fixed €40 indemnity for collection costs, in accordance with Articles L441-10 and L441-6 of the French Commercial Code, which governs this contract.

Article 4 — Delivery timelines

Timelines stated on the quote are indicative and depend on the client's responsiveness (providing content, approvals). They are not guaranteed in the event of delays caused by the client or of force majeure.

Article 5 — Client obligations

The client agrees to provide, within a reasonable time, the content, access and information required to carry out the service, and to approve intermediate deliverables within 5 business days, failing which they are deemed accepted.

Article 6 — Intellectual property

Ownership of the intellectual property in the deliverables (source code, design) transfers to the client upon receipt of full payment for the service. Until that date, Waycraft.studio remains the owner of the work produced. Unless otherwise stated in the quote, Waycraft.studio retains the right to showcase the completed project in its portfolio.

Article 7 — Warranty and maintenance

For "Build" services, Waycraft.studio will fix, free of charge, any malfunction in the deliverable for 30 days following delivery. Beyond that period, any intervention (fix or enhancement) is subject to a new quote. "Connect" services involving recurring maintenance are covered by a separate monthly service agreement, described on the Connect page.

Article 8 — Cancellation and termination

If the client cancels the project after signing the quote, the deposit paid is retained by Waycraft.studio and is non-refundable. If the value of the work already completed exceeds the deposit paid, the difference is invoiced to the client in proportion to the work done. Waycraft.studio reserves the same right to stop a project in the event of a serious breach by the client (prolonged unresponsiveness, non-payment), after formal notice has gone unanswered for 15 days.

Article 9 — Liability

Waycraft.studio is bound by a best-efforts obligation. It cannot be held liable for indirect damages, loss of data not backed up by the client, or malfunctions related to a third-party service (hosting, external APIs). In any event, Waycraft.studio's liability is limited to the total amount of the service concerned.

Article 10 — Confidentiality and personal data

Information exchanged in the course of the project is treated as confidential. The processing of personal data collected via the site is detailed in the legal notice.

Article 11 — Governing law and disputes

These T&Cs are governed by French law. In the event of a dispute, and failing an amicable resolution, the competent courts will be those of Toulouse, France.
